Terms of Service

These Terms of Service (the "Terms") govern your use of the McNeil Labs website at mcneillabs.com and the software products we make available, including HopHub (collectively, the "Services"). Please read them carefully.
Who we are
McNeil Labs LLC ("McNeil Labs", "we", "us", or "our") is a limited liability company formed in Colorado, USA. We design, build, and sell our own desktop and web software. You can reach us any time at hello@mcneillabs.com.
Acceptance of these Terms
By using the website, downloading or installing our software, or creating an account, you agree to these Terms. If you do not agree, do not use the Services. Individual products may carry supplemental terms that are shown to you at the time of purchase or signup; where those supplemental terms conflict with these, the supplemental terms control for that product.
License to use our software
Our software is licensed, not sold. Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use our software for your own personal or internal business purposes. You may not:
- reverse engineer, decompile, or disassemble the software, except where that restriction is prohibited by law;
- resell, sublicense, rent, or redistribute the software; or
- remove or alter any proprietary notices.
We retain all rights, title, and interest in the Services that are not expressly granted to you. You keep ownership of the content you create.
Accounts
Some products, including HopHub, use a cloud account to sign in and sync your work. You agree to provide accurate information, to keep your credentials secure, and to be responsible for activity under your account. Tell us promptly if you believe your account has been compromised. We may suspend or terminate an account that we reasonably believe is being used for abuse, fraud, or a violation of these Terms.
Acceptable use
When using the Services, you agree not to:
- use them for any unlawful purpose or in violation of anyone's rights;
- interfere with, disrupt, or attempt to gain unauthorized access to the Services or their infrastructure; or
- abuse collaborative features — for example, by sharing content that is unlawful, or by using shared boards to harass others or distribute malware.
Purchases and billing
We sell our products directly online. Depending on the product, a purchase may be a one-time payment or a recurring subscription; the details are shown to you before you pay. HopHub is currently free while in early access. Payments are processed by Stripe; we do not receive or store full payment card numbers. Prices are exclusive of taxes unless stated, and applicable taxes may be added. For subscriptions, canceling stops future renewals; the cancellation takes effect at the end of the current billing period, and fees already paid are non-refundable except where required by law or stated otherwise at purchase.
Early-access software
Some of our software, including HopHub, is offered in early access. It is provided as is, may change, and may occasionally break. We may add, modify, or discontinue features at any time as the product develops. We will make reasonable efforts to preserve your data, but you should not rely on early-access software for anything you cannot afford to lose.
Warranty disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.
Limitation of liability
To the fullest extent permitted by law, McNeil Labs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or goodwill. IN NO EVENT WILL OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES EXCEED THE AMOUNT YOU PAID US FOR THE APPLICABLE PRODUCT IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so parts of these limits may not apply to you.
Termination
You may stop using the Services at any time. We may suspend or end your access if you materially breach these Terms or if we reasonably need to protect the Services or other users. Provisions that by their nature should survive termination — including the license restrictions, disclaimers, and limitation of liability — will survive.
Governing law
These Terms are governed by the laws of the State of Colorado, USA, without regard to its conflict-of-laws rules. Any dispute will be handled in the state or federal courts located in Colorado, and you consent to their jurisdiction.
Changes to these Terms
We may update these Terms from time to time. When we do, we will post the revised version here and update the effective date above; for material changes we will provide reasonable notice through the website. Your continued use of the Services after a change takes effect means you accept the revised Terms.
